SEC approves filing of "SCG Decor" to prepare for IPO - tender COTTO and list SCGD shares on the market instead.

Siam Cement Public Company Limited (SCC) informed the Stock Exchange of Thailand on October 11, 2566, that, as disclosed in the information regarding the restructuring of the ceramic tile and sanitary ware business of its subsidiaries on March 29 and 30, 2566, the Company has designated SCG Decor Company Limited (now transformed into SCG Decor Public Company Limited ("SCGD"), a subsidiary of the Company, as the flagship company of the group for the production of floor tiles, wall tiles, and sanitary ware both domestically and internationally.

By offering SCGD's newly issued ordinary shares to the public for the first time (IPO) as well as making a tender offer for securities of SCG Ceramics Public Company Limited (“COTTO”) with compensation paid in Additional common shares of SCGD (stock exchange or Share Swap) including the delisting of COTTO shares from being listed securities on the Stock Exchange of Thailand. (“The Stock Exchange”) and the listing of SCGD's shares on the Stock Exchange instead.

Subsequently, the company disclosed information regarding the plan for the initial public offering (IPO) of ordinary shares and the listing of SCGD shares on the Stock Exchange of Thailand on May 31, 2023 , and disclosed information regarding the filing of the registration statement and draft prospectus with the Securities and Exchange Commission ("SEC") for the initial public offering of ordinary shares and the listing of SCGD shares on the Stock Exchange of Thailand on June 29, 2023.

The company wishes to inform you that SCGD has received a letter from the Securities and Exchange Commission (SEC) approving the application for permission to offer securities for the initial public offering (IPO) of SCGD's ordinary shares on October 10, 2566.

SCGD is currently considering the appropriate timing for the IPO, making a tender offer for COTTO's securities, and delisting COTTO's shares from being listed securities on the Stock Exchange. and the listing of SCGD's shares on the Stock Exchange.
