MORE sells shares of More Property to Phadet Phuripatiphan for 330 million baht

MORE sells 48 million shares of MORE Property to "Phet Phuripatiphan" for 330 million baht, with shares to be transferred in installments within 3 years.

On November 7, 2567, a resolution was passed approving the sale of investments in More Property Development Company Limited (“PROP”) which is a subsidiary company with 48,399,993 shares or 99.99 percent of the total registered capital of PROP.

With Mr. Kavin Chalermroj and Mr. Sirisak Piyathassikul, directors of PROP, holding shares on behalf of the company together totaling 7 shares, which will be sold at the same time. The investment in the said common shares has a par value (PAR price) of 10 baht per share and a net book value (NBV price) of 6.50 baht per share, with a sale price of 6.82 baht per share (a mutually agreed price) totaling 330,000,000 baht (-three hundred thirty million baht-) to Mr. Phadet Phuripatiphan

Mr. Phadet Phuripatiphan intends to purchase the shares traded at a total price not exceeding 330,000,000 baht (-three hundred and thirty million baht-).
(“Purchase Price”) whereby the parties agree that the Purchaser shall pay the said Purchase Price to the Man.

1. The Buyer agrees to pay the first installment of 50,000,000 baht. On the date of this contract, the Buyer has deposited the said amount with the Seller and it shall be considered part of the share purchase price.
2. The Purchaser agrees to pay the remaining share price of 280,000,000 baht in one payment or in installments within 3 years from the date of this contract.
3. The Seller agrees to transfer ownership of the Purchased Shares to the Buyer in the amount paid by the Buyer to the Seller, with the transfer of ownership to be made within 14 days from the date on which the Seller receives payment for the Shares in each amount.
4. The Seller agrees to be responsible for paying stamp duty for the transfer of all traded shares.

On November 21, 2567, both parties signed a joint purchase and sale agreement, including More Return Public Company Limited receiving a total payment for the shares in the amount of 60,0000,000 baht (-sixty million baht-) and immediately transferred the ownership of the purchase to Mr. Phadet Phuripatiphan in proportion to the payment of the transfer of ownership.
