Thonburi Healthcare Group (THG) is restructuring its subsidiaries by merging Trangvejkit and Lantavejkit to improve management efficiency. The transfer of businesses is expected to be completed in the second quarter of 2026.

Date 24 Feb. 2569 Thonburi Healthcare Group Public Company Limited (THG) The company has informed the Stock Exchange of Thailand that the Board of Directors meeting No. 2/2569, held on February 23, 2569, resolved to approve the restructuring of its subsidiary's business by merging Trang Vejkij Co., Ltd. (THTR), in which THG holds 55% of the shares, with Lanta Vejkij Co., Ltd. (Lanta), indirectly held by THG through THTR, which holds 99.93% of the shares.

The objective is to improve the efficiency of managing the Thonburi Lanta Medical Clinic by placing it under the management of Thonburi Trang Hospital (Trang Medical Services Co., Ltd.).

This business restructuring will transfer all of Lanta's operations to THTR (Entire Business Transfer method), expected to be completed by Q2/69, and will result in the following initial changes:

  1. Lanta has ceased to be a legal entity by operation of law, and no liquidation proceedings have been initiated. THTR, however, retains its status as a legal entity.
  2. THTR will assume all assets, liabilities, rights, obligations, and shareholder equity of Lanta as shown in the asset and liability statements as of the date the merger of the said subsidiary is legally completed.
