BANPU and BPP will hold shareholder meetings on July 21st to discuss the merger; the new company will retain the Banpu brand.

Banpu has scheduled a joint shareholders' meeting for July 21st to proceed with the merger of BANPU and BPP into a new company under the name "Banpu (BANPU)". The company is also preparing to request the Stock Exchange of Thailand (SET) to suspend trading of the two companies' shares for 10 business days, from July 17th to August 3rd.
On June 10, 2026, Banpu Public Company Limited (BANPU) disclosed the resolutions of its Board of Directors meeting regarding the merger transaction. The meeting of shareholders between BANPU and Banpu Power Public Company Limited (BPP) to consider various matters concerning the new company resulting from the merger will be held on Tuesday, July 21, 2026, at 1:30 PM via electronic means.
Following the shareholders' approval of the group's business restructuring through the merger between BANPU and BPP at the Extraordinary General Meeting (EGM) No. 1/2569, and the completion of the process of acquiring shares from shareholders who opposed the merger transaction on May 19, 2569, the Board of Directors resolved to convene a joint shareholders' meeting to consider and approve matters related to the "new company".

The agenda includes key items such as approving the new company name, objectives, registered capital, number of shares, par value, share allocation, company regulations, appointment of directors, auditors, and other details related to the merger.
This includes setting the book closing date for July 21, 2569, to compile a list of shareholders entitled to receive shares of the new company. Shareholders eligible for these shares must have their names listed in the shareholder register on that date.
Mr. Sinon Vongkusolkit, CEO of BANPU, stated that this merger is another important step for the Banpu Group, aimed at enhancing efficiency in asset management, capital allocation, and portfolio management to elevate Banpu's potential for sustainable growth. He invited shareholders to attend the joint shareholder meeting to be a part of shaping Banpu's new future.
The new company to be presented at the joint shareholders' meeting will retain the name 'Banpu Public Company Limited', with the stock ticker symbol 'BANPU', because Banpu is not just a corporate name, but represents the confidence, relationships, and trust we have built with all stakeholders over several decades.
Retaining the original name reflects the continuity of our vision, brand strength, and commitment to diversified energy growth driven by people and technology, in order to responsibly expand the world's energy capabilities.
This joint shareholders' meeting is a crucial step in considering the establishment of a new company resulting from the merger, and represents a significant step in strengthening business potential and creating long-term value for shareholders.
A quorum is required for a meeting to be held, and at least a majority of the votes of the shareholders attending each company (both BANPU and BPP) must be obtained.
The Company therefore cordially invites shareholders to attend the meeting to support the transaction to proceed as planned. For shareholders who are unable to attend the joint shareholder meeting between BANPU and BPP shareholders on Tuesday, July 21, 2569, in person...
Independent directors of the company may be authorized to attend meetings and cast votes by proxy. A proxy form, along with supporting identification documents, should be submitted by July 20, 2026, at 5:00 PM.
Furthermore, BANPU and BPP will request the Stock Exchange of Thailand to approve a 10-day trading suspension of BANPU and BPP shares, from July 17 to August 3, 2569, to prepare for the allocation of shares of the new company and to carry out various procedures related to listing the new company's shares on the Stock Exchange of Thailand.
