TTB fully repurchased its shares worth 9,245 million baht, bringing the cumulative total to 2.1 billion baht and achieving its target one year ahead of schedule.

TTB announced the successful completion of its fourth share repurchase program, achieving 100% of the allocated budget. This brings the total repurchase amount from all four programs to 21 billion baht, one year ahead of schedule. The company also confirmed its strong capital adequacy ratio remains at approximately 19% and will proceed with its plan to repurchase a total of 35 billion baht by 2028.
On June 12, 2569 TMB Thanachart Bank Public Company Limited (TTB) The results of the 4th share repurchase program, conducted between May 25, 2569 and June 9, 2569 through a General Offer at a price of 2.26 baht per share, with a maximum budget of 9,245 million baht, have been announced.

It was revealed that for the fourth share repurchase program, TTB was able to repurchase shares from both retail and institutional shareholders totaling 9,245 million baht, or 100% of the set budget. Combining the results from all four repurchase programs, the bank achieved its target of 21,000 million baht in share repurchase funds one year ahead of schedule. This reflects the bank's efficient management of the program to enhance shareholder returns amidst volatile economic and capital market conditions.
Meanwhile, the bank's capital position remains strong. Based on estimates of capital levels after the 21,000 billion baht share repurchase and the 2568 annual dividend payment in May, the Capital Adequacy Ratio (CAR) remains high at approximately 19%, comparable to other D-SIBs and significantly higher than the Bank of Thailand's minimum requirement of 12.0%.
Furthermore, regarding ING Bank NV's announcement of a partial share repurchase to TTB under the share repurchase program, ING stated that this was in line with its capital and portfolio management strategy. Following the partial repurchase, ING still holds a significant stake of approximately 17.5% of the issued and paid-up shares and continues to value its long-standing cooperation with TTB.
Mr. Piti concluded that the change in ING's shareholding proportion does not result in any changes to the shareholder structure or management structure. ING remains among the major shareholders, along with Thanachart Capital Public Company Limited and the Ministry of Finance.
In terms of business policies or strategic direction, there is also no impact. TTB remains committed to driving the organization towards its set goals, which include creating better financial lives for Thais and generating sustainable returns for the bank's shareholders. This includes the share repurchase program totaling 35 billion baht over a four-year period, from 2025 to 2028.
Because the bank was able to implement the share repurchase program faster than planned, it has flexibility in terms of the timeframe for the next program. The bank will consider and determine the appropriate form and method of share repurchase, taking into account relevant factors, including capital market trends, to ensure that each repurchase maximizes benefits for shareholders.
