The SEC (Securities and Exchange Commission of Thailand) clarified news reports regarding the reporting of TRUE shareholdings, stating that the reporting individual has registered and submitted Form 246-2 according to the system's procedures. The SEC reiterated the disclosure requirements for shareholdings exceeding or exceeding 5%, aiming to provide investors with transparent and timely information. Meanwhile, the accuracy of the acquisition or disposal of securities information is still under in-depth investigation by the SEC.

It was revealed that, according to Section 246, holders of securities exceeding or reaching 5% of the total voting rights must report the acquisition or disposal of such securities. This is to disclose to investors information regarding changes in control or potential power arising from the holding of convertible securities. This information is crucial for investment decision-making and must be disclosed to investors in a timely manner. The criteria for disclosing this type of information are consistent with international standards.

This reporting must be done through the Securities Acquisition or Disposal Reporting System (Report 246-2). Reporters must register, and the system will initially verify their personal information against the Department of Provincial Administration's civil registration database. Reporters must report the acquisition or disposal of securities within 3 business days from the date of acquisition or disposal.

Regarding the circulating news about the reporting of TRUE shareholders, the SEC has initially found that the reporting entity has registered, and the system has verified their personal information against the Department of Provincial Administration's civil registration database as per procedure. The reporting entity has also submitted the information through the system. However, the SEC is currently conducting a thorough investigation into the accuracy of the information regarding the acquisition or disposal of securities by the reporting entity.
