The Stock Exchange of Thailand (SET) and the Securities and Exchange Commission (SEC) are jointly investigating the facts surrounding the ongoing dispute over TRUE shareholder information. They confirm that no impact on the fundamentals of the listed company has been found so far. Meanwhile, they are moving forward with updating their shareholder disclosure system to be more responsive to changes.

8 July 2569 – Mr. Atsadej Kongsiri, Director and Managing Director of the Stock Exchange of Thailand (SET) It has been revealed that issues regarding shareholder information that have been questioned in the capital market are currently undergoing rigorous investigation. The Stock Exchange of Thailand (SET), in collaboration with the Securities and Exchange Commission (SEC), is accelerating the verification of facts to obtain accurate and up-to-date information, amidst significant investor interest, particularly in the case of True Corporation Public Company Limited (TRUE), whose shareholder information is currently under investigation.

The SEC is currently reviewing information from multiple angles to confirm the accuracy of the reported data. In some cases, additional facts need to be gathered, such as a case where a company was reported to have issued preferred shares, but the company has clarified that it never did. This case is currently under investigation by the SEC.

In the case of TRUE, the company has already filed a request to close the shareholder register, and the Stock Exchange of Thailand (SET) is expediting the process. The information obtained will be used to support the SEC's investigation, which involves close coordination between regulatory agencies, the SET, and listed companies.

The verification process relies on closing the shareholder register, with the listed company submitting the request. The Thailand Securities Depository (TSD) then coordinates the information with securities firms in the system. If the information is complete, the process takes approximately 5 business days, although some cases may be affected by settlement cycles.

Mr. Atsadet said While this issue will attract investor attention, so far there has been no impact on capital market confidence. This is because the fundamentals, performance, and business strategies of the companies involved have not changed. Institutional and foreign investors continue to prioritize business potential and performance over changes in shareholder structure.

To enhance the transparency of the capital market, the Stock Exchange of Thailand (SET) has also revised its shareholder disclosure guidelines, effective July 1, 2569. These revisions stipulate that in the event of a significant change in shareholders, as reported in Form 246-2, the TSD system will automatically track and update shareholder information at the end of each month. This allows investors to be aware of changes more quickly, reduces information gaps, and improves the efficiency of information disclosure in the Thai capital market.

"This accelerated fact-finding process and improvement of the disclosure system not only clarifies the issues that have arisen, but also marks another important step in raising the standards of governance and transparency in the Thai capital market, which is a crucial factor in maintaining investor confidence in the long term." Mr. Atsadet said
